5Hi Everyone,

7I know all of you have been quite patience as we come out of this long dry spell in Pervacio.
8However Im happy to announce that with the focused, long and hard work of everyone we are now literally 4 days away for ensuring regular and timely paychecks.
9August is turning out to be the golden month. This month we have closed several long pending deals:
101. 3million per year Genco Fedex deal. The first payment is being wired this Friday of $1.44million.
112. 300k TMO yearly recurring deal for Flash
123. XPO deal - $2million for the receiving tool - estimated to close within next 10 days.
134. Bell Canada - $1.2 mm - we already started doing customizations and things are moving well there.
14Besides these new revenues our existing contracts are getting stronger and stronger. We have $2.1mm due from Asurion on Sept 1st.
15With all these revenues I can confidently say that we will never miss a payroll again. This is true for rest of 2016 and all of 2017 as well.
16Furthermore we will get caught up with all employee backlogs by Sept 15th.
17As for August payroll for most of you in US you will get fully paid by next Monday - August 22nd. For rest of the world it will take additional 2 to 3 days to wire the funds.
18Thanks for your patience and perseverance and now lets focus our energies on getting back to growing again.

31I want to thank everyone for sticking with the company during the past few months as we put the company back in proper shape. Its simply amazing the amount of sacrifices and commitment demonstrated by all of you.
32Im going to make another huge request to all of you. Lets manage every dollar very carefully as we start to grow again. We will need to make many more sacrifices in coming days and months but it is for common good and common cause.
33Few common sense things to do:
341. Make travel arrangements in advance and please please let Alicia make the best decisions on bookings. She has visibility into cash situation and in general takes good care of everyone.
352. Look for cheaper flights always. I do this every day. Sometimes it would mean longer travel times and or early mornings or late evenings.
363. Look at any other waste around you and inform your managers on how we can be saving money.
37Lets spend every dollar towards the growth of the company. This is your company. All of you are owners in it. So treat every dollar as your own. If we do that ultimately we will increase value of our own stock options.

50Its been arguably a long summer for Pervacio. During these testing times only our true character comes out loud and clear. Im happy to say that each and every one of you have demonstrated highest levels of camaraderie, loyalty, courage and foremost resiliency. As you know this is my third startup and Ive seen a lot during past 20 years in the industry. Ive not seen anything like a Pervacio employees - period.
51However we have managed to bring the company back on track. Not only that we are still shooting to meet the growth plans of the company for 2016 - a recurring revenue target of $2.5 million per month.
52We have achieved this turnaround by applying the power of Focus. We had 30+ deals in pipeline but every one of them was getting dragged on without closing. So we decided to focus on just 4 of them:

59And we successfully closed all of them. Im also happy to announce today that all employee backlogs and expenses will be paid within next week - way advance of the September 15th deadline :-).
60There is a positive lesson in this for us. As we have grown we forgot the basic principles of focus and accountability. Going forward we are going to meticulously keep an eye on these 2 principles. No longer can we simply operate in a cowboy manner. We need to apply disciplined approach to all activities and we need to measure the outcomes. We will hold everyone accountable for finishing tasks and commitments in a timely manner. This will no doubt require us to shock the system and many of you will need to change and adapt to this new reality. If we do not commit to change now we will continue to have these ups and downs and for once Im pretty sure all of you can agree that we dont want to live like this.
61Also we did not simply stop after closing the 4 deals. We set a new goal for rest of the year - $1million" goal. We are in the process of organizing the entire company based on these principles of focus and accountability. The results are amazing. Just see these activities in past 2 weeks alone (due to the power of focus):
621. Part of the million dollar plan, we had identified 3 big opportunities in Europe - TeliaSonera, O2 and Ingram. With help from Ari-Pekka and Harry I spent last 10 days in Europe and met with all these 3 customers. We are the leading contender for all these 3 opportunities as of now.
632. However there are some engineering deliverables that we must complete to WIN these deals. YVS, Ravi, Mikko and Ari-Pekka are driving these forward.
643. With help from Sai we met with Comcast - another large deal we want to close in 2016. We are number 1 contender in this deal and we have identified a few GUI changes for this. Norm Cox is leading the GUI redesign work with help from Amy. Ravishu, Sai and rest of the company is behind this effort now fully engaged.
654. We have brought Asurion global relationship to a happy form. Anish Agarwal is leading the fight on the Docomo front with backend support from YVS, Jasti and many others.
665. The result is that Asurion Care project is now back on track. The first demo is setup for September 3rd week and we will quickly get into a pilot after that. If you recall this is a huge deal and this alone can not only make our target for 2016 by 50% of target for 2017. We still have some work on the GUI side so lets get this done.
676. We have kicked off discussions to bring warehouse robotics to Pervacio just yesterday. Ari-Pekka will lead this effort and we should see really nice outcomes from this project for 2017.
687. Ganeshs R&D team is close to launching their first project in Apple retail stores.
698. Flipkart in India is really really close to signing a contract with Pervacio. This will ultimately become a marquee account for Pervacio in India.
709. We met with 2 large OEMs when I was in India:
71- Panasonic - As you know it is one of the largest electronic OEMs in the world. We are engaged with them and soon we will announce a strategic alliance with them on multiple front.
72- Lava - It is one of the top 5 OEMs in India. We are building a killer app for them in India which ultimately will get deployed not only all across India but many parts of the world.
7310. Samsung has committed to deploying Pervacio in their Vietnam facility. This is a huge endorsement for Pervacio and will continue to expand our relationship with Samsung. Good work by Sai here.
7411. Hussain has now engaged with Rogers and Telus - other 2 large carriers in Canada
7512. Bell is recommending us to many other carriers around the globe. We are meeting with US Cellular next week from introduction by Bell.
76Im pretty sure Im forgetting others. But this is all in past 2 weeks. Isnt it impressive. The power of focus.
77So I want to directly appeal to each one of you to forget the bad memories of past few months. Renew and re-energize yourself and all your colleagues around you. Lets set a mission to meet the $1million plan. We are on our way and nothing can stop the Pervacio Express.

90I write to you today to bid adieu and convey my sincere thanks to each one of you, with whom I had the good fortune to be associated with in my short stint with Pervacio.
91I have been instrumental in getting a significant number of you onboard. We believed in a dream and a vision that was painted for us. The heady days of the last quarter in 2015 , the high energy and the traction we had gathered on so many fronts made us all feel that we were on the threshold of achieving greatness and building something unique. The Organisation demanded lot of our time, energy and efforts
And each one of us gave more than our 100 %. We put work over family, spent most of our waking hours at the office and worked hard to build Pervacio. Most of us had small growing up children or old parents needing attention or were newly married.. We compromised on these demands and gave more than our 100 % to the dream we shared.
92It is unfortunate that despite giving our best, the dreams remained distant dreams. We were busy focusing on making products that potential customer wanted, moved focus and resources from existing customers which impacted service levels to current customers. This resulted in impacting deliveries to existing customers and levy of penalties. We were unable to convert any prospects in to revenue and quickly slid into chaos.
93The Organisation demanded so much from each of us
94· Work 24 / 7 all days in the year
95· Focus on meeting targets over important personal events engagements, marriages, funerals, child birth all were frowned on.
96· Illness and hospitalization meant that you were not good enough to work with Pervacio.
97Inspite of complying with all these requirement, the Organisaion was unable to meet its basic responsibility pay its people on time. From Nov 2015, we have repeatedly failed to meet payroll commitments. We made numerous promises on :
98Delivering deals We even communicated that Bell and XPO were signed they have still not been signed.
99Getting investors I have realized that we are not going to do this since it would mean having to follow basic governance standards. As a Company we love the chaotic way we operate.
100Developing Banking Relationships : We cant since we do not have an order books or guaranteed revenues. We are living month on month.
101As I understand, we have significantly drawn on all future revenues to pay for our current expenditures, some of our customers have levied penalties that are around 65 % of our revenues and there are no further revenue streams in sight. I also understand from all communications from Seema that we do not have money for meeting October Payroll In India and elsewhere in the Globe. I also understand that quite a few vendors have not been paid for more than 10 months.
102I also see that we continue to chase delusionary dreams, project plans and figures that will never be realized, build business strategy on the fly and continue to hire people - for jobs that we are not clear about and add to the overhead.
103You would agree that this situation does not give cause for comfort. It also makes one loose belief in the Organisation. I would not like to be in a position that I have to give you false hope and unacceptable reasons for the situations that are likely to evolve no salary before Diwali etc. God knows I stood before you all and conveyed a lot of bad news
. But that was when I had some faith in the events to follow.
104It is in this background that I bid adieu to each one of you. I shall explore for other opportunities from tomorrow and hopefully should have something going very soon. I believe that it is better to work for a cause that you believe in and not go through the motions

138This is a follow up from last weeks email sent by RR to all of you. I sincerely apologize that all of you had to read such an email from one of our own employees.
139However as you all know there is evil in this world and it exists unfortunately everywhere. Subsequent to the letter and other unethical activities carried out by RR we were forced to file a criminal complaint against him with the police and our legal department. The police rounded him up and called him to the police station for criminal inquiry into his conduct. Upon that RR signed the attached apology letter and promised not to harass or disparage Pervacio or its employees.
140Pervacio has been in business for 12 years and as a startup we have enjoyed mostly good times and on occasions challenging times. This is not unique just to Pervacio but all startups. But this incident with one of our own has left me personally shaken and now we know how low a human being can go that they are willingly and knowingly ready to harm their own friends and colleagues - all for self gain.
141However thank god that we live in a law and order society and there are law enforcement agencies that provide protection and security to us.
142Now all of us need to forget about this event and this particular person and move on to our goal of building a great company. We will continue to have good times and bad times but there is no one in this world that can come in between our resolve - no one period.
143Meanwhile RR is still under criminal watch by the police. We hope he has learned his lessons and will go away but if there is any inappropriate contact from him please report immediately to Seema and Ravi.

156As all of you are aware Pervacio is experiencing amazing growth. We now have the attention of worlds best companies including Apple, Google, Samsung, DoCoMo, Verizon, AT&T, Sprint, Bell, Asurion and many many more.
157However with this growth also comes growing pains. The management is working very hard to stabilize the following 2 gaps:
1581. Financing the company properly:
159a. Sai and Ann and rest of SLT is working diligently to close a Line-Of-Credit. We have all the paperwork done and discussions are in place with Silicon Valley Bank to close this LoC within 60 days from now.
160b. Im here in Silicon Valley working to raise much needed Series-A round of funding. We are one of the hottest tech companies in US and being chased by top notch PE firms. We will close this funding round within 60 to 90 days.
1612. Hiring more resources:
162a. I know many of us are stretching quite a bit to meet with deadlines. It is duty of all others who have bandwidth to support our team members. Please reach out to your managers if you have time to health.
163b. As we close the funding we are going to hire more resources to keep up with the demand.
164Meanwhile it is critical that we show deep empathy to each other. The time for empathy is now and that means understanding each others problems and providing help if you can. Please take time to talk to each other openly and honestly and lets get through this 90 days together. 180Just a few comments and suggestions on how to deal with current situation for next 45 days:
1811. We will continue to release payments through next 45 days. For divisions like India, Finland, Hungary who are more than 2 months behind we will at least make 2 months of payments before April 5th.
1822. Please note that the entire SLT team has voluntarily not taken any pay for more than 4 months.
1833. Ive a humble request. Please do not spread negativity in your teams and start un-necessary gossips. We are on to the biggest funding event and will be recognized as a leader in our space. So no need to do silly things and jeopardize your reputation. All of us have fears and doubts and they are most profound during stressful situations like we are going through. This is the time to summon our faith and remain strong. Please remember my commitment that all of you will be able to buy a house. As soon as funding is closed you will know the actual value of your options. So just have patience for another 60 days.

226I wanted to share with you really exciting news and the months of May/June will go down as key milestones that will take Pervacio to new and greater heights.
2271. Sprint OMNI Channel - Sprint has agreed to license Pervacio technology for all its channels - Retail, Home and Self-Service. This is $8 million deal and equals 20% of the target for this year.
2282. Rohan and Flipkart team has signed the contract with Flipkart in India. This is our first major win in India. As you know Flipkart now is part of eBay and Microsoft joint venture. So this will go a long way in establishing Pervacio in India.
2293. Funding is moving forward now with full speed. Due-diligence is underway with final meeting with SVB on May 25th. We are expecting the $7mm to close by 1st week of June.
230With these WINs we are on our way to ensuring financial stability for next 2 years. This is without even considering the larger round of $50 million with Goldman and other PE firms.

2481. Sprint deal for $15 million is signed and closed. The first payment of $3 million is due within 15 days.
2492. Asurion global warehouse has now expanded from $2.1mm per year to $4+ million per year. This payment also is due within next 10 days.
2503. SVB financing is slightly delayed by 2 weeks due to paperwork but this week we will wrap up all the paperwork. This is $8 million that will be available to us in July.
2514. The larger round of $50 million is also going really well with firms like Goldman Sachs, Iconiq, Warbus Pincus, Providence and others heavily interested in investing. We have hired an investment banker to manage this closing and they are actively working on investor documentation.

328SLT team and I have been working round the clock to get the company back on track from the temporary situation we experienced this month. We are expecting a large payment from Asurion to be released middle of the week so we will be on time for the pay before Friday.
329We have also lined up next round of Docomo Ventures investment per my previous email. That is due in August. As you all are aware we have received term sheets for $30 million investment from reputed PE firms that we are expecting to close in August.
330Any new customer deals we sign from now till August will only help us achieve the goals sooner. So please keep moving along with a focus on helping close more deals like T-Mobile WDS, T-Mobile ACDC, XPO ACDC, GroupO, Orange and others that you are actively working on.

343I wanted to provide an update on the funding situation and ask for your patience for another week.
344We worked all week to sign the renewal of contract and good news is that it is getting signed today. The renewal is for 2 years period.
345We are expecting the money to be wired in early next week. I know this is difficult situation for all of us but we are continuing to ensure that we can release the payroll next week. At the same time we are also working on a solid plan for rest of the year and for 2019 to prevent this situation from happening again.
346I want to apologize for getting us in this situation and will work very hard with the SLT team to ensure we are not reliant on a bank for our future payroll. This is our first experience in dealing with a bank and very tough and painful lesson of taking on debt to finance the growth of the company.
347However this incident forced us to develop a robust plan for rest of the 2018 and for 2019. We will be sharing the full details of the plan

363I wanted to provide you with an update on the current payment and funding situation. There is slightly bad news and also several good pieces of news.
364Due to the holiday week here last week in US, the contract from the customer for making the payments will be executed today. The process after that is:
3651. Get a PO from the customer - Hopefully by tomorrow.
3662. Generate an invoice - tomorrow.
3673. Receive wire - This may happen on Friday or may get pushed out to next week.
368I will be personally onsite at the customer location to ensure things happen speedily. However given a week delay for last week, please now expect payment only next Friday. However we will release the payments earlier as soon as we receive it.
369I know this is going to cause a week more of pain for everyone and I again sincerely apologize for it.

371With the renewed focus on closing deals and bringing in revenues we closed 4 deals last week:
3721. Nojima in Japan - Yearly warehouse contract.
3732. AT&T / GroupO - This will be a 4.3 million devices per year deal for our receiving, Content Check and BSoH products. The team is onsite this week deploying the solution.
3743. AT&T / Fedex - AT&T is putting our took in Fedex location for Content Check and BSoH products. The volumes are over 2million devices per year. This is a huge expansion of our program in Fedex. This was announced yesterday by AT&T to Fedex.
3754. We have secured Claro Peru for Retail Suite and On device diagnostics. This is our first major win in LATAM. As you know Claro is part of America Moviles which is the largest carrier in LATAM with presence in over 10 countries.
376Finally we are also running a final pilot with Brightstar next week. This will result in a large contract with Brightstar once we are successful.

403Apologies again to provide you this update. We have yet to receive the wire from the customer as to today. However we are continuously in touch with the finance team of the customer and our business owner. This is just a procedural delay and nothing to worry about as all the paperwork has been completed.
404As of now we are expecting approval to release the payment tomorrow and best case receipt of wire on Friday. However all of us need to be prepared for the worst case as well. Just so that everyone can plan their finances I want to say that we give ourselves by next Friday to expect payment in your bank account. Again I want to emphasize that it can happen earlier but plan for the worse case of next Friday.
405We are doing all in our powers to get this payment released. We are also working diligently to make we bring the company back on track for next 18 months of stability.
406The SLT team members will setup all-hands with respective countries and regions this week to present detailed plan of recovery so everyone is aware of the potential in front of us once we are out of the woods from this severe cash crunch.
