Brief details are as follows: \tEnMo is a joint venture between National Grid Company PLC and AltraEnergy Technologies Inc \tEnEx's products are limited to 7-day ahead NBP gas contracts (these are physically-settled UK gas deals). ?\tSubscription fees are payable by users as well as general transaction charges. ?\tAccess is restricted to UK Gas Shippers (this comprises a small number of licenced entities). There also certain pre-set credit requirements. ?\tEach user can post orders, withdraw orders posted that have not been accepted by other users, and accept orders posted by other users. Other functionality includes the right to post time-limited orders. The system can stipulate maximum and minimum bid and offer prices. The identity of the user posting an order is anonymous. 9 " 1). Hickerson does not have any products up yet. I need to find out from Bridges where we are with Cargill. He has been in meetings all morning, I will revert when I know. 2). To be honest I think we are nowhere with Dow, but I have left that to Berberian. I haven't heard a peep from anyone on this. I will find out. 3). I think it is 50/50 on GM. They clearly are interested, but are not very clear on what they are trying to accomplish. They do want to make markets. I think our best bet is an EOL product hosting deal, but their internal process will be excruciating. Next step is they will meet with alan Engberg to discuss listing 7 to 8 petchems on EOL. 4). I have not been moving forward on service level contract because I do not think it really adds any value at the present time. 5). I do think we should seriously consider the case for charging an access fee to EOL. This should not be viewed as a commission. 6). I spoke with Vin Viola of NYMEX and he is interested in pursuing this idea of clearer as credit sleeve for locals. He is tough to pin down and negotiate with but we will run this down by end of next week. 7). 10 " Your minion request an answer to a question. Hi Andy, Despite the dot com melt down, and California setting back energy deregulation, we at gromco are still alive. I was encouraged by Eugene Lockhart's comments last month that New Power spends on average $140 to acquire a residential electric or nat gas customer. You can, I'm sure, see where this is going. We would be delighted to bring customers to New Power for substantially less, and I think we are in a good position to do so. Requests for alternative energy suppliers has dramatically increased in the last 6 months, unfortunately alternatives have not, since many suppliers have left the market. At your leisure, could you find out who I should talk to at New Power about customer acquisitions? I know that they are a separate company, but hopefully you have some interaction with them. 17 " Greg and Philippe Having listened to the DealBench presentation at our offsite and after discussing with Jay, I would like to propose the following with respect to DealBench and EnronOnline: 1). The most valuable pieces of business functionality DealBench has are the data rooms and auctions. The first might have some going concern value, but probably not much, as IntraLinks, the king, only generates $10MM in revs per year. The second, auctions, while of value will probably be given away by competitors to get other business. 2). The technology as a whole is not severable right now, and probably not ready for prime time. Thus the chances of getting a bid for it as IPR that is above the costs of doing a deal is minimal. We have some knowledge of this from our Offline experiences. Recommendation: EnronOnline's auction functionality is very thin. DealBench's has a lot of good business logic built into it. While the code might not be up to our standards, it would be of value to integrate it into the EnronOnline platform. This way we take advantage of the superior EnronOnline brand and not reinvent the wheel as far as business logic is concerned. There will be some development needed to integrate and rewrite the DealBench auctions piece to accommodate the single EnronOnline login, as well as change the look and feel to an EnronOnline one, but this should be well worth it. It is my STRONG belief that there is an untapped market for energy and commodity based auctions that EnronOnline should OWN. As a part of this move we should re-deploy DealBench's auction marketing force to attack this space, which furthers the general commercial goals of ENE, as opposed to something that now is fringe at best. I understand that you are really wanting a push to get this deal done asap. Mike and I feel the same way as we still are very supportive of the deal and recognize the impact on momentum that extended contract negotiations can have. I would like to manage your expectations on the timing, though. As you know, we visited with Enron legal for the first time on Monday, May 21. At the end of the meeting, Enron took the to-do to cycle edits based on our commercial and business principle discussions. We received the revised contract on Monday, June 4. Realistically speaking, the contract has been rewritten. We are hopeful that the business and commercial terms that have been agreed upon are still in tact, but regardless, the new document will take us some time to digest, reflect, and comment. Mike, Mark, and Brian are reviewing the contract in detail today and tomorrow. You and I should expect to receive their summary comments and feedback early next week. 22 " Rick, I've been thinking about this. I think 18 mos. for the average tenor of a trade is way too high. For John Arnold's book it would on a prospective basis be more in line with 4 months. We would probably not make markets online on anything past 24 months for NYMEX gas and the vast majority of our trades are in the first three months. I think the same would probably be true for power, but I haven't spoken to those guys about it. For the NYMEX book gas I made the following assumptions: Average tenor: 5 months Average trades per day: 400 average volume per trade: 500,000 mmbtu average px: $2.7/mmbtu With 252 trading days you and up with a gross unadjusted notional of $136bn. This is simply 400*252*500,000*$2.7 You then have to adjust down for the expiration of trades during the year. If the average life was 6 months you could halve the number above, which would be conservative given our 4 month assumption. That takes you down to $68.04bn ($136bn/2). The next adjustment would be to factor in netting for counterparties. You are trying to estimate the net open interest per countperparty. I am working on those numbers as I write this. It stands to reason that the net number for NYMEX Gas deals would be less than $70bn. When you factor in other gas trades and power the number would rise and I will look at that. As a basic method, does this start to get you to where you need to be ? Andy ",

59 ' Dear all, If you recall, several months ago we held a meeting to discuss the bonus planning needs for Commercial and Commercial Support Analysts now that they have been combined into one program under the A/A Program umbrella. I was asked to put together some information on how bonuses in 1999 compared between Merchant Service Analysts, Commercial Analysts and Commercial Support Sr. Specialists (and possibly even Managers) so that we could determine if there would be a 2000 bonus compression problem in Analysts being placed in Commercial Support positions and then having lower bonuses. Attached below you will find the results of that research. In short the conclusions are these: The 2000 system allows a difference between Commercial and Commercial Support Analyst bonus matrices preventing the compression problem. In 1999, Commercial Analyst and Commercial Support Sr. Specialist bonus matrices were comparable - and this can still occur in 2000. Bonus structures can easily be planned for 2000 so that no compression problem occurs. The data above is being sent to help you understand the concepts we discussed and put closure to the meeting. The 2000 bonus planning system allows for a variation within Analyst categories (commercial and commercial support) and will meet the business needs. At this point its a good idea to add the browser page to your Favorites as you can then get back to your Personal Workspace directly You will see a row of Tabs just under the header bar and one in particular called "Projects". I really do think that I would benefit greatly from more of a middle office focus, and have the management skills to supervise a large team of people. I know I would bring a new perspective to the role, coming from more of a back office focus, and after my European experience know how to focus on key controls. Do I need to do anything? I have discussed February departure timing with Fernley and he is fine with it. Depending upon my replacement, it could be sooner. I would need a few weeks to get things wrapped up in London like moving and packing etc. and re-established in Houston -- need to buy cars etc. but otherwise there shouldn't be too much downtime between places. Michelle Bruce will assume the Global Products business lead role. She will be responsible for ensuring that the business processes and procedures are as effective and efficient as possible. John Swinney, lead of Risk Management, and Lisa Walker, lead of Logistics Coordination, will report directly to Michelle. Michelle Thomason will continue in her current strategic planning role. We have been making the Texas circuit -- not quite as exciting as your travels. I have heard from Stephanie, and she, Paul and Rebecca are headed to Texas at the end of October/beginning of November. She will be interviewing students at UT on October 30 and 31 and then she and her family will be in Houston from Wesneday, November 1 to Saturday, November 4. They will be staying with us at our house. It will be fun to watch Tyler and Rebecca get to know one another! She is an older woman, but I am sure that they do well. By the way, Stephanie is expecting baby number two -- I think that when she is here she will be about six months pregnant.
